EGM THROUGH VIDEO CONFERENCING

The Ministry of Corporate Affairs by circular No. 14/2020 dated April 8, 2020, considering the present circumstances caused by the Coronavirus Disease, has allowed companies to conduct Extraordinary General Meeting (EGM) to discuss urgent matters through video conferencing or other audio video means, upto June 30, 2020. The Ministry has further clarified by another circular No. 17/2020 dated April 13, 2020 the modes of issue of notices etc. These circulars will have to be read in conjunction with the Companies Act, 2013, for including the advertisement as per Rule 20 sub-clause 5 of the Companies (Management and Administration) Rules.
